Article 1 - Definitions

  1. Eye4Media: Eye4Media, located in Utrecht, the Netherlands, Chamber of Commerce number 77874579.
  2. Client: the natural person or legal entity entering into or negotiating an agreement with Eye4Media.
  3. Agreement: any arrangement concerning services, projects, support, advice or delivery.
  4. Work: all designs, websites, online stores, campaigns, copy, strategies, code, images, documents and other results created by Eye4Media.

Article 2 - Applicability

  1. These terms apply to all quotations, offers, work, agreements and deliveries by Eye4Media.
  2. Deviations apply only when agreed in writing.
  3. The client's terms do not apply unless accepted by Eye4Media in writing.

Article 3 - Quotations and agreements

  1. Quotations are non-binding and valid for 14 days unless stated otherwise.
  2. An agreement starts when the client accepts a quotation in writing or electronically, or when Eye4Media begins work with the client's consent.
  3. Delivery dates and schedules are estimates unless expressly agreed as firm deadlines.

Article 4 - Performance

  1. Eye4Media performs its work with due care as a best-efforts obligation unless a specific result is guaranteed in writing.
  2. The client supplies all required information, content, feedback, access and materials on time.
  3. Delays caused by missing information, late feedback or changed requirements are the client's responsibility.
  4. Eye4Media may engage third parties when reasonably needed.

Article 5 - Changes and additional work

  1. Work outside the agreed scope is additional work and may be billed separately.
  2. Changes may affect the schedule, cost and delivery date.

Article 6 - Prices and payment

  1. Prices exclude VAT and other charges unless stated otherwise.
  2. Invoices are payable within seven days unless agreed otherwise in writing.
  3. Late payment places the client in default and allows Eye4Media to suspend work.
  4. Statutory commercial interest and reasonable collection costs are payable by the client.

Article 7 - Delivery and acceptance

  1. The client must inspect delivered work promptly and report defects in writing with sufficient detail.
  2. Work is considered accepted if the client does not respond within 14 days.
  3. Minor defects that do not prevent normal use do not justify withholding payment.

Article 8 - Cancellation and termination

  1. The client may cancel or terminate an assignment in writing.
  2. Completed work, reserved capacity, incurred costs and agreed deposits remain payable.
  3. The client may terminate ongoing services, including advertising and campaign services, by giving at least 30 calendar days' written notice, unless the parties agree a different period in writing or mandatory law provides otherwise. The notice period starts on the day after Eye4Media receives the notice.
  4. Unless the parties agree otherwise in writing, the agreed services and fees remain in effect during the notice period. The client remains responsible for advertising budgets and costs committed by the client or Eye4Media to advertising platforms or other third parties before the agreement ends.

Article 9 - Advertising services and third-party access

  1. The client may obtain independent advice on campaign performance using the client's own advertising data and reports, provided the information may lawfully be shared and the adviser is bound by confidentiality. This does not give the adviser access to advertising accounts, dashboards or Eye4Media's confidential information.
  2. While Eye4Media provides the advertising services, the client must not, without Eye4Media's prior written consent, share confidential strategy, internal methods, campaign structure, unpublished materials or account credentials with another marketing or advertising provider. The client must not give that provider access to advertising accounts, dashboards or workspaces used for the assignment.
  3. If the client wants to give another provider access to advertising accounts or have that provider take over the advertising services, the client must terminate the advertising services in writing in accordance with Article 8. Until the agreement ends, that provider may access the accounts only with Eye4Media's prior written consent.
  4. If a third party obtains access to the advertising accounts or takes over campaign management without prior written consent, Eye4Media may suspend the affected work to protect the accounts, campaigns and confidential information. This does not affect the notice period or payment obligations under Article 8, to the extent permitted by mandatory law.
  5. This Article does not limit any rights the client has under mandatory law.

Article 10 - Intellectual property

  1. All intellectual-property rights remain with Eye4Media until full payment.
  2. After full payment, the client receives a right to use the delivered work for the agreed purpose.
  3. Source files, raw files, internal methods, templates and rejected concepts transfer only when agreed in writing.
  4. Eye4Media may use the work in its portfolio, marketing and case studies unless confidentiality is agreed in writing.

Article 11 - Client materials

  1. The client guarantees that supplied copy, images, marks, data and other materials may lawfully be used.
  2. The client indemnifies Eye4Media against third-party claims relating to supplied materials or instructions.

Article 12 - Hosting, tools and third parties

  1. External platforms, hosts, plugins, advertising platforms and payment providers are also governed by their own terms.
  2. Eye4Media is not responsible for third-party outages, price changes, policy changes or restrictions.
  3. The client is responsible for its own accounts, licences, advertising budgets and subscription charges unless agreed otherwise.

Article 13 - Confidentiality

  1. Both parties keep confidential information secret and use it only to perform the agreement.
  2. This does not cover information already public, lawfully received from a third party or required to be disclosed by law.

Article 14 - Liability

  1. Eye4Media is liable only for direct loss caused by an attributable failure.
  2. Liability is limited to the amount paid for the relevant assignment during the three months before the event, capped at EUR 5,000 unless mandatory law requires otherwise.
  3. Eye4Media is not liable for indirect loss, consequential loss, lost revenue or savings, reputational damage, data loss or third-party damage.
  4. These limits do not apply to intent or deliberate recklessness.

Article 15 - Force majeure

  1. Obligations are suspended while performance is reasonably impossible due to force majeure.
  2. Force majeure includes supplier or hosting failures, internet or power outages, illness, government measures, cyber incidents and other circumstances beyond reasonable control.
  3. If force majeure lasts longer than 30 days, either party may terminate the unperformed part in writing.

Article 16 - Complaints

  1. Complaints must be reported promptly, clearly and in writing.
  2. A complaint does not suspend payment obligations.
  3. Eye4Media receives a reasonable opportunity to remedy a valid complaint.

Article 17 - Governing law

  1. All agreements are governed by Dutch law.
  2. Disputes are submitted to the competent court in the district where Eye4Media is established, unless mandatory law requires another court.
